Web Design Contract

SERVICE AGREEMENT

Agreement:
I, ____________________ (Client’s name) authorise RocketFunnels and its employees to engage in digital marketing services and will provide access to our website, Facebook, Instagram, and other social media accounts as needed. I authorise permission for RocketFunnels to make changes to our social media accounts and campaigns, and to make edits to our website, as agreed upon in this agreement. I accept the services I have selected below and agree to make all required payments as outlined in this agreement. I understand that services will only be provided after a payment has been made. I understand that RocketFunnels will not receive any funds that are intended for Facebook, nor any other social media platforms. I understand that I have the right to cancel this service at any time with no ongoing agreement or commitment. I understand that monthly service costs may change at any time.

Description of services
Website Design/Development (WDD): Our web design & development services include planning and developing a strategic website structure that aims to successfully convert incoming leads into customers. Our WDD service also includes search engine optimization services, with the goal of improving the website’s search result rankings on Google.
Search Engine Optimization (SEO): This search engine optimization service is what is included in our website design/development services. This SEO service includes keyword research, research of competition, and strategic planning of keyword integration onto the website with the goal of improving the website’s organic search results with Google
Website Maintenance Service (WMS): Our website maintenance service includes updating plugins, and any other software that requires updates. Our website maintenance service also includes minor editing to the client’s website as requested by the client. Minor editing includes photo uploads, edits, and deletions, changes to website content (within reasonable workloads that are determined by agent). Website content includes text, links, headings, headers, titles, and color changes. Website maintenance service costs may change at any time.

2. Cancellations: RocketFunnel’s monthly services will be billed at the beginning of each month, automatically through PayPal. I understand that I have no ongoing commitment past each month. I understand that I have the right to cancel this service at any time with no ongoing agreement or commitment.
3. 30-Day Money Back Guarantee: A full refund will be granted if Client requests Agent to do so within 30 calendar days of the date entered on this agreement. Failure to request a refund within 30 days of this agreement will result in no refund granted.
4. Rights to Create Content: The Client will retain the right to all content created by the Agent for the Client, while under contract, ad infinitum. However, the Client may not distribute for profit any content created by the Agent for the Client, while under contract, without the written consent of the Agent. Furthermore, the Agent will retain the right to use any and all content created by the Agent for the Client, while under contract, for the purpose of (1) providing samples of the Agent’s work or (2) instruction – including, but not limited to, presentations, lectures, webinars, and published material in any medium.
5. Account Access & Authorization: The Agent is authorized by the Client to assume the identity of the Client in all social media and web interactions on the internet including, but not limited to, status updates, blog posts, online forum discussions and message board posts, comments, and responses to user comments, and emails. The Client authorizes the Agent to use URLs, usernames, and passwords for all its social & web mediums in the space below:

6. Liability Waiver: Establishing a social media presence and initiating a two-way flow of communication between the Client and the public can have unintended consequences on the Client’s reputation. Should this occur, the Client waives its right to hold the Agent responsible for any damage and/or liability that may arise from the Agent’s actions on behalf of the Client. If, at any time, the Client does not agree with actions taken by the Agent on its behalf, it must notify the Agent in writing. If the Agent receives such a communication, the Agent will post a retraction and apology across all affected platforms within twenty-four (24) hours.
7. Service Interruption: Either party shall be excused from any delay or failure in performance required hereunder if caused by reason of any occurrence or contingency beyond its reasonable control, including, but not limited to, acts of God, acts of war, fire, laws, proclamations, edits, ordinances or regulations, riots, earthquakes, floods, explosions, or other acts of nature. The obligations and rights of the party so excused shall be extended on a day-to-day basis for the period equal to the period of such excusable interruption. When such events have abated, the parties’ respective obligations hereunder shall resume. In the event the interruption of the excused party’s obligations continues for a period more than thirty (30) days, either party shall have the right to terminate this Agreement upon ten (10) days’ prior written notice to the other party.
8. Entire Agreement: Should either party violate the terms of or fail to meet the obligations set forth in this contract, such action will render the opposing party free from any further contractual obligation.

IN WITNESS WHEREOF, both parties signify their authority to act on their organization’s behalf and agreement to abide by the terms of this contract effective the date written above by the signatures affixed below.
